Nimiq Wallet Terms and Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the website https://wallet.nimiq.com applications, and related services ( the “Service”) provided by Nimiq Labs, Ltd a company incorporated and existing under the laws of the United Kingdom, registration No. 11553320, legal address: Kemp House, 128 City Road, London (“Nimiq,” “we,” “us,” or “our”)

The Platform is a non-custodial, interface-based software application that enables users to interact with blockchain networks directly through their web browser. The Platform provides technological tools that allow users to generate, access, and manage cryptographic keys, create and control wallet addresses, and initiate blockchain transactions. The Platform is offered as a 100% free, self-custodial web wallet for NIM, BTC, and USDC, enabling users to securely manage and interact with supported digital assets.

Nimiq does not create, hold, or control user accounts, private keys, or digital assets, and at no time has custody, possession, or control over any funds. All cryptographic keys are generated and stored locally on the user’s device, and users retain exclusive control over their wallet and associated assets. All transactions are initiated and executed by the user through decentralized blockchain networks and are irreversible once confirmed. The Platform does not process, validate, or guarantee any transaction and cannot access, recover, or reset private keys, passwords, or wallet credentials.

By using the Platform, you acknowledge and agree that you are solely responsible for the security, backup, and management of your private keys, recovery phrases, and any digital assets associated with your wallet.

Definitions

Wallet” means a non-custodial software application or digital tool that enables users to generate, manage, and use cryptographic keys in order to access, store, and transfer digital assets and interact with blockchain networks. A Wallet does not hold or store digital assets itself, but rather facilitates access to blockchain addresses where such assets are recorded.

Recovery Words” means the sequence of words (also known as a seed phrase or mnemonic phrase) generated by a Wallet that enables the restoration or backup of Private Keys and access to a user’s wallet. Anyone with access to the Recovery Words may obtain full control over the associated wallet and digital assets

Private Keys” means the cryptographic credentials associated with a blockchain address that allow a user to access, control, and authorize transactions involving digital assets. Private Keys are confidential and must be securely stored by the user, as possession of such keys confers full control over the associated assets.

Login File” means any file, keystore, encrypted credential, or equivalent digital export generated by or compatible with a Wallet that enables a user to access, restore, or authenticate control over their wallet and associated Private Keys. A Login File may provide full or partial access to the wallet, and any person in possession of such file, together with any required password or credentials, may be able to gain control over the associated digital assets.

Content” means all text, graphics, images, software, code, interfaces, designs, trademarks, logos, documentation, and other materials or information made available on, through, or in connection with the Service, whether owned by Nimiq or licensed from third parties.

Third-Party Services” means any services, applications, software, websites, protocols, or resources that are not owned, operated, or controlled by Nimiq, including, without limitation, blockchain nodes, RPC endpoints, exchanges, payment providers, fiat on- and off-ramps, app stores, analytics providers, and browser extensions. Nimiq does not control, endorse, or assume responsibility for any Third-Party Services.

Eligibility

To access or use the Service, you must have the legal capacity to enter into a binding contract under the laws of your jurisdiction of residence. By accessing or using the Service, you represent and warrant that you meet this requirement and that you are at least the age of majority in your jurisdiction.

If you access or use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms and that such entity agrees to be responsible for your actions and compliance with these Terms.

You may not access or use the Service if doing so would violate any applicable laws or regulations. This includes, without limitation, restrictions arising from international sanctions, export control laws, or other legal prohibitions applicable in your jurisdiction or in any jurisdiction relevant to the Service. By using the Service, you further represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to applicable sanctions or restrictions, and that you are not listed on any government list of prohibited or restricted parties.

We reserve the right, at our sole discretion and without prior notice, to refuse, suspend, or terminate access to the Service to any user who does not meet the eligibility requirements set forth herein, or whose use of the Service may violate applicable laws, these Terms, or pose a risk to the operation, security, or integrity of the Service.

Nature of the Service (Interface-Only Software)

The Platform is a non-custodial, interface-based software application that enables users to interact with public blockchain networks. Nimiq does not operate, control, maintain, or validate any blockchain network, nor does it participate in transaction validation, consensus mechanisms, or protocol governance.

The Platform merely provides a user interface that allows users to access and interact with third-party blockchain protocols and infrastructure. All transactions are executed directly by users on decentralized networks without involvement, intermediation, or control by Nimiq.

Nothing in the Platform shall be construed as providing or performing regulated services under applicable financial services laws, including but not limited to custody, exchange, brokerage, payment processing, or execution services.

AML Compliance and Sanctions

Nimiq is committed to operating in accordance with applicable laws and regulations relevant to its role as a provider of non-custodial software.

Due to the non-custodial nature of the Platform, Nimiq does not collect or process user identity information, does not have visibility into or control over user transactions, and does not act as a financial intermediary.

Users are solely responsible for complying with all applicable laws and regulations, including those relating to anti-money laundering, counter-terrorism financing, sanctions, and tax obligations, in their use of the Platform.

Nimiq may implement reasonable measures to restrict access where required to comply with applicable laws or sanctions obligations.

Prohibited Uses of the Service

Users agree not to access or use the Service in any manner that is unlawful, fraudulent, deceptive, abusive, or otherwise in violation of these Terms or any applicable law, regulation, or third-party right. Without limitation, Users shall not, directly or indirectly:

(i) use the Service to violate any applicable law, regulation, court order, or sanctions regime, or to engage in or facilitate any unlawful activity, including but not limited to fraud, money laundering, terrorist financing, or sanctions evasion; (ii) engage in any conduct that infringes, misappropriates, or otherwise violates the rights of any third party, including intellectual property, privacy, or contractual rights; (iii) attempt to gain unauthorized access to, interfere with, disrupt, damage, or exploit any part of the Service, its underlying systems, networks, or infrastructure, or any data contained therein; (iv) introduce, transmit, or distribute any viruses, worms, malware, or other harmful or malicious code or components; (v) bypass, disable, circumvent, or otherwise interfere with any security features, authentication measures, rate limits, or access controls implemented by the Service; (vi) use any automated means, including bots, scrapers, or similar technologies, to access, extract, or collect data from the Service without prior authorization; (vii) engage in any activity that could damage, disable, overburden, degrade, or impair the functionality, availability, or performance of the Service or interfere with any other user’s access or use thereof; (viii) attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service, except to the extent permitted by applicable law or open-source licenses; or (ix) use the Service for any purpose or in any manner not expressly permitted by these Terms.

The Platform reserves the right to limit, suspend, or block access to the Service where it reasonably believes such action is necessary to protect users, comply with applicable laws or regulations, or maintain the integrity and security of the Service. However, Users acknowledge that the Platform cannot block or restrict access to public blockchain networks themselves, as such networks operate in a decentralized manner beyond the control of the Platform.

Risk Disclosure

By using the wallet website, you acknowledge and accept the inherent risks associated with blockchain technology and digital assets, including but not limited to: (i) high volatility and potential total loss of value; (ii) irreversible transactions; (iii) risks of software bugs, vulnerabilities, or cyberattacks; (iv) loss of access due to lost or compromised private keys; (v) regulatory uncertainty. You agree that you access and use the Website entirely at your own risk.

Volatility Risk. Digital assets, including cryptocurrencies, are highly volatile and speculative in nature. Their value may fluctuate significantly and unpredictably over short periods of time, including to zero. There is no guarantee that any digital asset will retain its value, and you may suffer partial or total loss of your assets.

Technology and Smart Contract Risk. Blockchain technologies, smart contracts, and associated software are experimental and may contain bugs, defects, vulnerabilities, or design flaws. Transactions executed via smart contracts are typically irreversible and may result in permanent loss of funds due to coding errors, exploits, or unforeseen technical issues.

Transactions Are Irreversible; Network Risk. Transactions conducted on blockchain networks are generally irreversible once broadcast and confirmed. You acknowledge and accept all risks associated with such transactions, including, without limitation:

  • incorrect, incomplete, or maliciously altered recipient addresses;
  • selection of an incorrect network, protocol, or digital asset;
  • network congestion, delays, failures, or outages;
  • protocol upgrades, forks (hard or soft), chain splits, or reorganizations;
  • validator or miner behavior, including censorship or reordering of transactions;
  • bugs, vulnerabilities, or incompatibilities in wallet software, smart contracts, or underlying infrastructure.

Loss of Private Keys. User are solely responsible for the security and management of your Private Keys, Recovery Words, Login Files, and any other credentials associated with your wallet. Loss, theft, or unauthorized access to such credentials may result in permanent and irreversible loss of access to your digital assets. The Platform cannot access, recover, or reset your credentials.

Regulatory Risk. The legal and regulatory framework applicable to digital assets and blockchain technology is evolving and may change at any time. Changes in laws, regulations, or governmental policies may adversely affect the availability, use, or value of digital assets and the legality of your activities.

Swaps, Liquidity Providers, and Execution Risk. The Platform may enable users to access third-party services, decentralized protocols, aggregators, or liquidity providers that facilitate the exchange of digital assets (“Swaps”). Such Swaps are executed directly between the user and the relevant third-party provider or protocol.

Nimiq does not act as a counterparty, broker, dealer, intermediary, agent, or market maker in connection with any Swap. Nimiq does not receive, hold, route, or control user funds at any stage of a Swap transaction.

Nimiq does not determine pricing, liquidity availability, routing, or execution of any Swap. All quotes, rates, and execution outcomes are provided by third-party providers or protocols and may change at any time.

Users acknowledge and accept the risks associated with Swaps, including but not limited to: (i) price slippage and volatility; (ii) failed or partially executed transactions; (iii) loss of network fees due to failed execution; (iv) front-running, sandwich attacks, or other forms of Miner/Maximal Extractable Value (MEV); (v) smart contract vulnerabilities or exploits; (vi) inaccuracies or delays in pricing information.

Nimiq makes no representations or warranties regarding the availability, accuracy, reliability, or outcome of any Swap.

No Financial or Investment Advice. The Platform does not provide financial, investment, legal, or tax advice. Any information provided is for informational purposes only and should not be relied upon as a basis for making financial decisions.

User Responsibility. You acknowledge that you have sufficient knowledge and experience to understand the risks associated with digital assets and blockchain technology, and that you are solely responsible for conducting your own due diligence before using the Platform.

To the fullest extent permitted by applicable law, Nimiq shall not be liable for any loss, damage, or harm arising from or related to the risks described above or your use of the Platform.

Nimiq reserves the right, at its sole discretion and without prior notice, to monitor activity, investigate suspected violations, and suspend, restrict, or terminate access to the Platform or its services where it reasonably believes that a User has violated applicable laws, sanctions regulations, or these Terms. The Platform may also take any additional action it deems necessary to comply with legal or regulatory obligations.

Fiat Services and Third-Party Payment Providers

The Platform may provide access to third-party fiat on-ramp or off-ramp services, including payment processors and regulated financial institutions (“Fiat Providers”), which enable users to purchase or sell digital assets using fiat currency.

All fiat-related services are provided exclusively by such Fiat Providers. Nimiq does not provide, operate, or control any fiat payment services, does not receive or transmit fiat funds, and is not a party to any transaction between the user and a Fiat Provider.

Fiat Providers are solely responsible for compliance with applicable laws and regulations, including Anti-Money Laundering (AML), Know Your Customer (KYC), and payment services regulations. Users acknowledge that they enter into a direct contractual relationship with the Fiat Provider and are subject to its terms and policies.

Nimiq disclaims all responsibility and liability for any acts, omissions, errors, delays, fees, or compliance obligations associated with Fiat Providers.

Merchant Payments and Peer-to-Peer Transactions

The Platform may enable users to initiate digital asset transfers to third-party wallet addresses, including those associated with merchants or service providers.

All such transactions are peer-to-peer blockchain transactions executed directly between the user and the recipient. Nimiq does not process, settle, intermediate, or otherwise participate in such transactions.

Nimiq is not a payment service provider, payment processor, or acquiring institution, and does not provide regulated payment services under applicable laws, including Directive (EU) 2015/2366 (PSD2) or equivalent regulations.

Users are solely responsible for verifying transaction details and ensuring that payments are sent to the correct recipient.

Fees and Charges

Certain transactions carried out through the Platform may require the payment of blockchain network fees, including but not limited to miner or validator fees. For the convenience of users, the Platform may display or provide an estimate of such network fees prior to the execution of a transaction. However, users acknowledge and agree that these fees are determined by the relevant blockchain network and not by Nimiq. Accordingly, such fees may vary, fluctuate, or change at any time and without prior notice. Users further acknowledge that the Platform does not control, determine, or receive such network fees and shall not be responsible for any changes or variations in the amount of such fees.

The Service may integrate with, provide access to, or contain links to services, applications, websites, or content operated by third parties (“Third-Party Services”). Such Third-Party Services are not owned, controlled, or operated by Nimiq. Nimiq does not endorse, control, or assume any responsibility for the availability, accuracy, security, privacy practices, terms of use, pricing, performance, or content of any Third-Party Services. The inclusion of any links or integrations does not imply any approval, association, or endorsement by Nimiq. Your access to and use of any Third-Party Services is solely at your own risk and subject to the terms, conditions, and policies of the respective third-party provider. Nimiq shall not be liable for any loss, damages, or issues arising from or related to your use of or reliance on any Third-Party Services.

Self-Custody and User Responsibility

The Platform is a non-custodial software interface that enables users to interact directly with blockchain networks. Nimiq does not create, maintain, or have access to user accounts, Private Keys, Recovery Words, Login Files, or any other credentials associated with a user’s wallet. You acknowledge and agree that you retain sole and exclusive control over your wallet, Private Keys, Recovery Words, and all digital assets associated with your blockchain addresses at all times. Nimiq does not hold, custody, manage, or control any digital assets on your behalf, and at no point has the ability to access, transfer, or recover such assets. You are solely responsible for the security, confidentiality, and proper storage of your Private Keys, Recovery Words, Login Files, passwords, and any other access credentials. Loss, theft, compromise, or unauthorized disclosure of such credentials may result in permanent and irreversible loss of access to your digital assets. You acknowledge that the Platform cannot and will not assist in the recovery of Private Keys, Recovery Words, Login Files, or any lost or inaccessible wallet. Nimiq has no ability to reset passwords, reverse transactions, or restore access to any wallet or digital assets. You further agree to maintain appropriate backups of your Recovery Words and other credentials in a secure manner. You assume full responsibility for any and all risks associated with the use of a non-custodial wallet, including, without limitation, the risk of loss of access to your digital assets.

Forks, Upgrades, and Protocol Changes

Blockchain networks are decentralized and may undergo changes, including, without limitation, protocol upgrades, updates, forks (whether hard forks or soft forks), chain splits, or other modifications to their underlying rules (collectively, “Network Changes”). Such Network Changes may materially affect the operation, availability, value, or functionality of digital assets and the Platform. Nimiq does not control, influence, or participate in the governance or implementation of any Network Changes and makes no representations or warranties regarding their outcome, compatibility, or effect on any supported or unsupported network or digital asset.

You acknowledge and agree that Network Changes may result in, without limitation:

  • the creation of new or duplicate assets;
  • the loss of value or utility of existing assets;
  • incompatibility with the Platform;
  • temporary or permanent disruption of access to certain networks or assets;
  • replay attacks, transaction duplication, or other unintended consequences.

Nimiq shall have sole discretion to determine whether and to what extent the Platform will support any Network Changes, including whether to support any forked chain or asset. Nimiq may suspend, modify, or discontinue support for any network or asset at any time without prior notice.

You are solely responsible for monitoring Network Changes and determining how to respond to them, including taking any necessary actions to protect your digital assets.

Limitation of Liability

The Website and all Content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

To the fullest extent permitted by applicable law, Nimiq and its affiliates, directors, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, loss of assets, or other intangible losses arising out of or in connection with: (i) your use or inability to use the Website; (ii) any transaction executed through blockchain networks; (iii) unauthorized access to or alteration of your data; (iv) reliance on any Content.

Third-Party Providers and Services

The Platform may rely on, integrate with, or provide access to third-party services, applications, software, protocols, or infrastructure (collectively, “Third-Party Providers”), including, without limitation, blockchain nodes, RPC endpoints, validators, exchanges, liquidity providers, fiat on- and off-ramps, payment processors, custody solutions, analytics providers, browser extensions, and other external tools or services. Such Third-Party Providers are not owned, operated, or controlled by Nimiq. Nimiq does not monitor, endorse, guarantee, or assume any responsibility for the availability, accuracy, reliability, security, legality, or performance of any Third-Party Provider. The inclusion of or access to any Third-Party Provider through the Platform does not constitute any affiliation, partnership, or endorsement by Nimiq. Your access to and use of any Third-Party Provider is entirely at your own risk and subject to the terms, conditions, and policies of the respective third party. Nimiq shall not be responsible for any acts, omissions, errors, delays, failures, or security breaches of any Third-Party Provider, nor for any loss, damage, or harm arising from or related to your use of or reliance on such services. The Platform may depend on Third-Party Providers for certain functionalities, and interruptions, delays, inaccuracies, or failures of such providers may impact your ability to access or use the Platform or complete transactions. Nimiq makes no guarantees regarding the continuous availability or performance of any Third-Party Provider.

Supported and Unsupported Networks and Digital Assets

The Platform may enable interaction with certain blockchain networks and digital assets; however, not all networks, tokens, or assets are supported. Nimiq does not represent, warrant, or guarantee that the Platform will support any particular blockchain network, protocol, token, or digital asset, nor that such support will be continuous or error-free. You acknowledge and agree that attempting to use the Platform with unsupported networks, tokens, or digital assets may result in the loss, inaccessibility, or permanent inability to recover such assets. The Platform may not display or recognize all assets, balances, or transactions, particularly those associated with unsupported or incompatible networks. You are solely responsible for verifying that any network, token, or digital asset is supported by the Platform prior to initiating any transaction or transferring any assets.

Nimiq shall have no obligation to support any specific network, token, or asset, and may, at its sole discretion, add, remove, or modify support for any network or asset at any time without prior notice.

Non-Reversible and Non-Refundable Transactions

You acknowledge and agree that all transactions conducted through blockchain networks are final, irreversible, and non-cancelable once broadcast and confirmed. The Platform does not have the ability to reverse, cancel, modify, or otherwise alter any transaction after it has been initiated by the user. You are solely responsible for verifying all transaction details prior to submission, including, without limitation, recipient addresses, network selection, asset type, and transaction parameters. Any errors, including but not limited to incorrect, incomplete, or maliciously substituted addresses, or the selection of an incorrect network or asset, may result in permanent and irreversible loss of digital assets. The Platform does not validate, guarantee, or assume any responsibility for the accuracy, validity, or outcome of any transaction. Transactions are executed directly on decentralized blockchain networks and are subject to network conditions, including congestion, delays, failures, reordering, or censorship by validators or miners. You further acknowledge that once a transaction is confirmed on a blockchain network, it cannot be undone, refunded, or recovered by Nimiq or any third party. You assume all risks associated with the initiation and execution of transactions through the Platform.

Backup Responsibility and Credential Safeguarding

You acknowledge and agree that you are solely responsible for securely creating, maintaining, and protecting backups of your Private Keys, Recovery Words (seed phrase), Login Files, and any other credentials required to access your wallet. The Platform does not store, retain, or have access to such information and has no ability to retrieve, recover, or reset it. You understand that failure to properly back up your Recovery Words or other credentials may result in permanent and irreversible loss of access to your wallet and any associated digital assets. Nimiq shall have no responsibility or liability for any loss arising from your failure to maintain adequate backups or from the loss, theft, or compromise of your credentials. You agree to store backups in a secure manner, including taking reasonable precautions to protect against unauthorized access, loss, destruction, or disclosure. This may include, without limitation, the use of offline storage methods and secure physical or digital safeguards. You further acknowledge that any person who gains access to your Recovery Words, Private Keys, or backup materials may be able to obtain full control over your wallet and digital assets without your authorization. You assume all risks associated with the storage and management of such backups.

To the fullest extent permitted by applicable law, you hereby assume all risks associated with the creation, storage, and management of your backups and credentials, and you expressly release, waive, and discharge Nimiq, its affiliates, directors, officers, employees, and agents from any and all liability, claims, damages, losses, or expenses (including, without limitation, loss of digital assets) arising out of or in connection with your failure to properly secure, back up, or maintain your credentials, or any unauthorized access thereto.

No Custody or Fiduciary Relationship

The Platform is a non-custodial, interface-based software tool that enables users to interact directly with blockchain networks. Nimiq does not at any time hold, custody, control, or have access to any digital assets, Private Keys, Recovery Words, Login Files, or any other user credentials. All digital assets are held and controlled solely by the user through their own wallet and blockchain addresses. Nothing in the Platform or these Terms shall be construed as creating any form of custodial relationship, fiduciary duty, agency, partnership, joint venture, or trust relationship between Nimiq and the user. Nimiq does not act as a broker, dealer, intermediary, agent, or representative of any user in connection with any transaction or activity conducted through the Platform. The Platform does not provide financial, investment, legal, tax, or other professional advice, and no content, information, or functionality made available through the Platform shall be considered or relied upon as such. Nimiq does not make any recommendations, endorsements, or solicitations regarding any digital assets, transactions, or strategies. All transactions are initiated and executed directly by the user on decentralized blockchain networks without involvement, intermediation, or control by Nimiq. Nimiq does not execute, validate, settle, or guarantee any transaction, nor does it act on behalf of or in the interest of any user. You acknowledge and agree that you are solely responsible for all decisions, actions, and transactions undertaken using the Platform, and that you assume all risks associated therewith.

For the avoidance of doubt, Nimiq does not provide regulated services including, but not limited to: (i) custody or safekeeping of crypto-assets; (ii) operation of a trading platform; (iii) exchange of crypto-assets for funds or other crypto-assets; (iv) execution of orders on behalf of clients; (v) payment services; (vi) investment advice or portfolio management.

The Platform is intended solely as a technical interface for user-directed interactions with blockchain networks.

To the fullest extent permitted by applicable law, you expressly acknowledge and agree that no custodial, advisory, brokerage, or fiduciary relationship exists between you and Nimiq, and you hereby waive any claim to the contrary.

Intellectual Property and Open-Source Software

The Service may include open-source software components that are governed by their respective open-source licenses. Except for such open-source components, Nimiq and its licensors retain all rights, title, and interest in and to the Service and its content, including all trademarks, logos, and branding. Users may not use Nimiq’s trademarks or branding without prior written consent, except where such use is permitted by applicable law.

Privacy and Cookies

The collection, use, and processing of personal data, if any, are governed by our Privacy Policy, available at: https://www.nimiq.com/privacy-policy/ . By using the Service, you acknowledge and agree to the practices described in these policies.

Waiver of Right of Withdrawal

To the extent permitted under applicable law, including Directive 2011/83/EU on consumer rights, you expressly request and consent to the immediate performance of the Service upon acceptance of these Terms.

You acknowledge that the Service consists of digital content and/or digital services that are supplied immediately, and that you thereby waive any statutory right of withdrawal or cancellation once the Service has been accessed or used.

Translations

Translations of these Terms may be provided for convenience only. In the event of any inconsistency or conflict between a translated version and the English version, the English version shall prevail and control.

Disclaimers (No Warranties)

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis. Nimiq shall not be responsible for any loss, including but not limited to loss of digital assets, private keys, data, profits, revenue, or business opportunities. The Service and its underlying software or libraries may be under active development and may contain errors, vulnerabilities, interruptions, or other technical issues. Nimiq disclaims all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or any warranties arising from course of dealing or usage of trade. Nimiq does not warrant that the Service will be uninterrupted, timely, secure, error-free, or compatible with any particular device, system, or software environment.

Indemnification

You agree to indemnify, defend, and hold harmless Nimiq, its affiliates, officers, directors, employees, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: (i) your use or misuse of the Service; (ii) your violation of these Terms; or (iii) your violation of any applicable law or the rights of any third party.

Suspension and Termination
